1. GENERAL

 

1.1             This is an agreement between you and YourPosting LLC, which operates zhongwenlink.com website (“Site”).  

1.2             The Site contains variety of contents such as website names, website links, RSS, user account, and email services (collectively referred to hereafter as "Online Service").

1.3             By using the Online Service in any way, you are agreeing to comply with the Terms of Use (“Terms”). You also agree to comply with any guidelines posted throughout the Site when using particular Online Service. Those guidelines as well as the Term may change from time to time. If you have any objection to any part of the Term, any guidelines, or any subsequent modifications thereto or become dissatisfied with the Site in any way, you should immediately stop using the Site.

1.4             The Site reserves the right to change the Terms at any time and for any reason without prior notice to you.  Such changes shall become effective immediately upon posting on the Site.  It is your responsibility to review the Terms on a regular basis to keep yourself apprised of any changes. 1.5             By using the Site you accept and agree to the Terms, including any amendments, updates, or changes to any rules or policies.

 

2. SITE LIMITATION, MODIFICATION AND TERMINATION

 

2.1             The Site reserves the right to modify or terminate, temporarily or permanently, the Site, any site features (including without limitation blocking or terminating your Account), rules or conditions, all without notice, even though such changes may affect the way you or 3^rd parties use the Site.

2.2             There is certain limitation in the use of the Site.  You agree that the Site has no responsibility or liability for failure in viewing, publishing, storing any Content submitted by you or others.

 

3. VIEW THE CONTENT FROM THE SITE

 

3.1             The Site allows users to view and post information, data, text, files, photos, videos, images, voices and other materials (“Content”). 

3.2             You understand and agree the Site does not create, control, and is not responsible for such Content.  You understand the Content posted on, transmitted through, or linked from the Online Service is the sole responsibility of the person from whom the Content originated.

3.3             You understand you may be exposed to Content that appears to be indecent, inaccurate, misleading, offensive or otherwise objectionable.   You agree NOT to hold the Site responsible for such Content.

 

4. LINKS TO OTHER SITES

 

4.1             The Content may contain links to other websites.  The Site is not responsible for the content of or claims made on websites that may be linked to or from the Site, whether or not they may be affiliated with the Site. 

4.2             Your access to the other sites is at your own risk.  The Site is not liable in any form for any Content or loss or damage as result of using other sites.

5. POSTING ON THE SITE

 

5.1             You agree NOT to transmit any Content that is false, unlawful, misleading, harmful, abusive, threatening, invasive of another's privacy, harassing, vulgar, defamatory, hateful, obscene or racially or otherwise objectionable, including without limitation material of any kind or nature that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, provincial, national, or international law or regulation, or encourage the use of controlled substances.

5.2             You agree NOT to post advertising or solicitation in categories that is not appropriate, or post the same item or service in more than one category or more than once every 10 days, or post the same ad in multiple cities on the Site unless it is approved by the Site.

5.3             You agree NOT to and not cause to modify or delete any material posted by any other user.

5.4             You agree NOT to post any adult content or explicit adult material in shape or form in any part of the Site or in your email to other users. 

5.5             You agree NOT to upload an extremely large amount of data on the Site.

5.6             You agree NOT to post any Content which is infringing or is possibly infringing the patents, trademarks, copyrights, service marks, logos, confidential information or intellectual property rights of others.

5.7             You agree NOT to post any ads for products or services, use or sale of which is prohibited by any law or regulation.

5.8             You agree NOT to use any automated device, spider, robots, software, crawlers or routine which can interfere with the proper working of the Site.

5.9             You agree NOT to use the Site to engage in or assist another individual or entity to engage in fraudulent, abusive, manipulative or illegal activity.

5.10         You understand that the Site does not pre-screen or approve Content.  However, you agree the Site shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Online Service, for violating the letter or spirit of the Terms or for any other reason(s).

5.11         You represent and warrant that: (i) you own the Content posted by you on or through the Site or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the Site does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you to or through the Site.

5.12         You agree NOT to perform unauthorized access to non-public areas of the Site or other users’ accounts.

5.13         You agree NOT to use any means to discover, unlock, or copy any codes or software of the Site without written authorization from the Site.

5.14         You agree NOT to discriminate based on religion, race, nationality, gender, marital status, disability, age, sexual orientation, etc.

5.15         You agree NOT to use computer program or other automatic means to enable automatic submission of postings on the Site without each posting being manually entered by the author.

5.16         You agree NOT to violate the Fair Housing Act by expressing discriminately in any posting or contact based on national origin, race, color, sex, religion, familial status, handicap or other characteristics.

5.17         You agree NOT to violate the equal employment opportunity laws by expressing discriminately in any posting or contact based on national origin, race, color, sex, religion, age, or disability.

5.18         You agree NOT to violate anti-discrimination provision of the Immigration and Nationality Act including requiring U.S. citizenship or green card as a condition for employment, unless otherwise required by law, regulation, or other form of orders.

5.19         You agree NOT to abuse the use of the site by posting or sending “junk mail”, “spam”, or unsolicited ads.

5.20         You agree NOT to post any content such as adult service, nude modeling, abortion service, fertility service, egg donor, organ sale or donation, weapons, medicine or medical devices, drug, food, software, hazardous materials etc.  

5.21         You agree NOT to contact anyone who has asked not to be contacted.

5.22         You agree NOT to collect personal data about other users for commercial or unlawful purposes.

 

6. PRIVACY POLICY

 

You agree the Site may, in its sole discretion, preserve or disclose your Content,

as well as your information, such as email addresses, IP addresses, and other user information, if required by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: comply with legal procedure; enforce the Terms; respond to 3^rd party claims etc.    

 

Further, you agree the Site or 3^rd party may contact you via email or other channel for commercial purposes.           

 

7. PROPRIETARY RIGHTS

 

You agree the Online Service owns the copy right of all Content either produced by the Site or posted by you, the users.  The copy right is protected to the maximum extent by copyright laws and international treaties. Any reproduction, modification, redistribution of the Site or any portion of the Site is strictly prohibited without the written consent from the Site.

 

8. DISCLAIMER OF WARRANTIES

 

You agree that use of the Site and the Online Service is entirely at your own risk.  The Site and Online Service are provided on an “as is” or “as available” basis, without any warranties of any kind. 

 

9. LIMITATIONS OF LIABILITY

 

You agree that YourPosting is not liable, under no circumstances, for direct, indirect, special, consequential damages result from any aspect of your use of the Site or the Online Service.

 

10. INDEMNITY

 

You agree to indemnify and hold YourPosting, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content you submit, post or make available through the Online Service, your use of the Online Service, your violation of the Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another.

 

11. Other Agreements

 

The Terms constitute the entire agreement between you and YourPosting and

govern your use of the Online Service.  The Terms and the relationship between you and YourPosting shall be governed by the laws of the State of Illinois without regard to its conflict of law provisions. You and YourPosting agree to submit to the personal and exclusive jurisdiction of the courts located within the Lake County of Illinois. You agree that regardless of any statute or law to

the contrary, any claim or cause of action arising out of or related to use

of the Online Service or the Terms must be filed within 6 months after such

claim or cause of action arose or be forever barred.
